It is recommended to name and number your counter offers by linear sequence for ease of reference. For Example, Counter Offer #1, Counter Offer #2, Counter Offer #3, etc.
Add the date of the original Purchase Agreement for reference.
This should be the date you are making your counter offer, typically today's date.
The time frame you are giving the buyer / seller to review and accept, counter offer, or reject your counter offer. If the seller does not respond within this time frame, it is considered a rejection of your counter offer. This time frame is typically three days from the offer / counter offer date. If there is no response from the other party in this time frame, it is consider a rejection of the counter offer.
